Using this website or sending information through it does not create an attorney-client relationship. Do not submit confidential, privileged, or highly sensitive information through the website. An attorney-client relationship may be established only through a written engagement agreement with Woods Aitken LLP.


1. Introduction and Scope

Woods Aitken LLP ("Woods Aitken," "we," "us," or "our") respects your privacy. This Website Privacy Notice explains how we collect, use, disclose, retain, and protect Personal Information when you visit https://www.woodsaitken.com or submit information through features available on that website (the "Website").

For purposes of this Notice, "Personal Information" means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked to an individual or household. It does not include information that has been deidentified or aggregated so that it cannot reasonably be linked to an individual.

This Notice is limited to the Website and Personal Information collected through it. It does not govern information that Woods Aitken receives or processes in connection with an attorney-client relationship, legal representation, employment relationship, or other interaction that occurs outside the Website. It also does not govern websites and services operated by third parties, even when the Website links to or embeds those services.

2. Personal Information We Collect

Information you provide

We collect Personal Information that you choose to provide through the Website, including:

  • Contact and inquiry information. Your name, telephone number, email address, subject, message, how you heard about Woods Aitken, and any other information you include in a Website inquiry.
  • Newsletter information. Your name, email address, company, mailing address, selected E-Brief topics, referral source, and related subscription preferences.
  • Event and webinar information. Contact details, organization, registration selections, attendance information, and questions or feedback you submit when a registration opportunity is offered through the Website.
  • Communications information. Information contained in emails, telephone calls, text messages, or other communications that result from a request you make through the Website.
  • Other information you choose to provide. Any additional information you voluntarily submit through a Website field or communication initiated through the Website.

You are not required to provide Personal Information. If you do not provide information requested by a Website feature, however, we may be unable to respond to your inquiry, provide requested materials, complete a registration, or fulfill your request.

Payment information

The Website provides links to LawPay, an independently operated payment service. Payment card and bank account information entered on LawPay is submitted directly to LawPay and is governed by LawPay's privacy and security practices. Woods Aitken does not receive or store complete payment card information through the Website. We may receive transaction-related information, such as a payer name, payment amount, date, confirmation, and invoice or matter reference, as needed to record and reconcile the payment.

Career information

The Website links to an external job board operated by HireClick. Information submitted through that job board is collected on HireClick's platform and is subject to the privacy notice presented there. This Website Privacy Notice applies only to information collected directly through the Woods Aitken Website.

Information collected automatically

When you visit the Website, Woods Aitken and its service providers may automatically collect:

  • Internet and network information, including IP address, internet service provider, referring page, requested pages, and the date and time of access.
  • Device and browser information, including browser type, operating system, device type, language settings, screen characteristics, and similar technical details.
  • Website activity, including pages viewed, links selected, navigation paths, time spent, and interactions with Website features.
  • Approximate location derived from an IP address. We do not use the Website to collect precise geolocation information.
  • Identifiers and preference information, including cookie identifiers, analytics identifiers, attribution identifiers, and records of your cookie choices.

We collect this information through server logs, cookies, pixels, tags, local storage, embedded content, and similar technologies. More information appears in Section 5, Cookies and Similar Technologies.

Information from other sources

We may receive limited information from service providers and referral sources that support the Website, such as analytics reports, attribution information, event-registration information, consent records, security alerts, and transaction confirmations. We may combine this information with information collected directly through the Website when permitted by law.

3. How We Use Personal Information

We use Personal Information collected through the Website to:

  • Operate, maintain, support, and improve the Website and its features.
  • Respond to inquiries and route communications to appropriate Woods Aitken personnel.
  • Assess whether and how we can respond to a request or continue a discussion. Submission of an inquiry does not create an attorney-client relationship.
  • Administer E-Brief subscriptions, requested publications, event registrations, webinar communications, and related preference choices.
  • Send administrative communications and, when requested or permitted, informational communications about Woods Aitken developments, publications, programs, or events.
  • Measure Website use, understand how visitors arrive at the Website, evaluate general attribution, and improve content and navigation.
  • Record and honor cookie choices, privacy requests, and communications preferences.
  • Protect the Website, our systems, our personnel, and visitors; detect fraud, abuse, security incidents, and technical problems; and troubleshoot Website functions.
  • Comply with legal, regulatory, professional, and ethical obligations; establish or exercise legal rights; and respond to lawful requests.
  • Support a merger, reorganization, financing, transfer, or other business transaction involving all or part of Woods Aitken, subject to appropriate safeguards.
  • Create aggregated or deidentified information for reporting, analysis, and Website improvement.

4. How We Disclose Personal Information

We may disclose Personal Information collected through the Website to the following categories of recipients for the purposes described in this Notice:

  • Service providers and contractors. Website hosting and support providers, information technology and cybersecurity providers, form and communication providers, analytics and attribution providers, cookie-consent providers, video and content-delivery providers, event providers, payment processors, and other vendors that perform services for Woods Aitken.
  • Woods Aitken personnel. Attorneys, professional staff, administrative personnel, and other authorized personnel who need the information to respond to or administer a Website-related request.
  • Professional advisers. Auditors, insurers, consultants, and other professional advisers when reasonably necessary for legitimate business, security, compliance, or risk-management purposes.
  • Government authorities and other parties for legal reasons. Courts, regulators, law-enforcement agencies, government authorities, and other parties when disclosure is required or permitted by law, necessary to protect rights or safety, or appropriate to investigate fraud, misuse, or security concerns.
  • Transaction participants. Parties involved in a possible or completed merger, reorganization, financing, transfer, or similar business transaction, together with their advisers, subject to appropriate confidentiality and use restrictions.
  • Recipients you direct or authorize. Other recipients when you direct us to disclose the information or provide consent.

We may disclose aggregated or deidentified information that cannot reasonably be linked to an individual. We maintain and use deidentified information in deidentified form and do not attempt to reidentify it except as permitted by law.

5. Cookies and Similar Technologies

The Website uses cookies and similar technologies to operate, secure, measure, and improve the Website. CookieYes provides the Website's cookie notice and preference controls. Depending on the Website feature and your choices, these technologies may fall into the following categories:

  • Necessary technologies. Support core functions such as security, network management, accessibility, fraud prevention, and storage of cookie preferences. These technologies cannot always be disabled through the preference tool.
  • Functional technologies. Support enhanced functions, embedded content, and user preferences.

You can review or change nonessential cookie choices at any time by selecting the Cookie Settings link or icon available on the Website. You may also configure your browser to block or delete cookies. Blocking some technologies may affect Website features.

Where required by applicable law, we recognize supported browser-based universal opt-out signals, such as Global Privacy Control, for the browser or device sending the signal. Legacy Do Not Track signals do not operate consistently across the internet, and the Website may not respond to them.

6. Sale, Sharing, and Targeted Advertising

Woods Aitken does not sell Personal Information collected through the Website for monetary consideration. Woods Aitken does not intend to use or disclose Website Personal Information for cross-context behavioral advertising or targeted advertising as those terms are defined by applicable comprehensive state privacy laws.

Some state privacy laws define sale, sharing, or targeted advertising broadly and may characterize certain disclosures of online identifiers and Website activity to analytics or attribution providers in that manner. To the extent an applicable law treats a Website technology as a sale, sharing, or targeted advertising, you may exercise the applicable opt-out through Cookie Settings, a supported universal opt-out signal, or the request methods in Section 10.

7. Communications Choices

You may unsubscribe from E-Briefs and other promotional or informational email communications by using the unsubscribe link in the message or contacting e-news@woodsaitken.com. We may continue to send nonpromotional messages that are necessary to respond to a request, administer a registration, document a preference, or address a legal or security issue.

If you request or consent to receive text messages from Woods Aitken, message frequency may vary and standard message and data rates may apply. You may reply STOP to discontinue messages and HELP for assistance. Mobile opt-in information will not be sold or disclosed to third parties for their own marketing purposes.

8. Retention

We retain Personal Information collected through the Website only for as long as reasonably necessary for the purposes described in this Notice, including responding to requests, administering subscriptions and events, maintaining business and consent records, protecting security, resolving disputes, and satisfying legal, regulatory, professional, ethical, accounting, or reporting requirements.

Retention periods vary based on the type and sensitivity of the information, the context in which it was collected, operational needs, legal obligations, limitation periods, and whether the information is needed to protect legal rights. When information is no longer required, we may delete, anonymize, or securely dispose of it, subject to permitted backups and legal holds.

9. Security

Woods Aitken uses reasonable administrative, technical, and physical safeguards designed to protect Personal Information collected through the Website. No method of transmission or storage is completely secure, however, and we cannot guarantee absolute security. Please do not transmit confidential, privileged, financial-account, government-identification, health, or other highly sensitive information through public Website forms.

10. Your Privacy Rights

Depending on where you reside and subject to applicable exceptions, you may have the right to:

  • Confirm whether we process your Personal Information and access that information.
  • Correct inaccuracies in your Personal Information.
  • Request deletion of Personal Information you provided or that we obtained about you.
  • Obtain a portable copy of certain Personal Information.
  • Opt out of a sale of Personal Information, targeted advertising, sharing for cross-context behavioral advertising, or certain profiling. Woods Aitken does not currently intend to use Website Personal Information for these purposes, as explained in Section 6.
  • Withdraw consent for processing based on consent, without affecting processing completed before withdrawal.
  • Appeal a decision concerning a privacy request.
  • Receive equal service and not be discriminated against for exercising an applicable privacy right.

Please describe your request and provide enough information for us to identify relevant Website records and verify that you are the person to whom the records relate. We may be unable to fulfill a request if we cannot verify identity, if an exception applies, or if the request concerns information outside the scope of this Notice.

Authorized agents

Where permitted by law, an authorized agent may submit a request on your behalf. We may require proof of the agent's authority and may ask you to verify your identity or confirm that you authorized the request.

Appeals

If we deny a request and applicable law provides a right to appeal, you may appeal by emailing contact@woodsaitken.com with the subject line "Website Privacy Request Appeal." Explain why you believe the decision should be reconsidered and include the original request date or reference number, if available.

11. Additional State Privacy Disclosures

This section supplements the rest of the Notice for residents of California and other states that require category-based disclosures. During the preceding 12 months, we may have collected the following categories of Personal Information through the Website:

  • Identifiers, such as name, email address, postal address, telephone number, IP address, and online identifiers.
  • Contact and customer-record information, such as correspondence, organization, subscription information, registration details, transaction confirmations, and related records.
  • Internet or electronic network activity, such as browsing activity, page views, interactions, referring pages, device information, and cookie or analytics identifiers.
  • Approximate geolocation derived from an IP address.
  • Professional or employment-related information that you voluntarily provide, such as company or job title in an inquiry or registration.
  • Communications and other content, such as inquiry messages, questions, feedback, and preferences.
  • Inferences drawn from Website activity, such as general interests in particular practice areas, publications, or Website content.

We obtain these categories directly from you, automatically from your browser or device, and from service providers or referral sources. We use and disclose them for the purposes and to the recipient categories described in Sections 3 and 4.

The Website is not designed to collect sensitive Personal Information. Please do not submit confidential or sensitive information through public Website forms. If we receive sensitive information inadvertently, we use it only as reasonably necessary to respond, secure our systems, comply with law, or perform another permitted purpose. We do not use sensitive Personal Information collected through the Website to infer characteristics about an individual.

Woods Aitken does not offer financial incentives or different prices or service levels in exchange for Personal Information collected through the Website.

12. Third-Party Websites and Services

The Website contains links to or embedded content from third parties, including LawPay, HireClick, Vimeo, mapping services, social networks, and other external resources. These third parties operate under their own privacy notices and terms. Woods Aitken does not control their independent collection, use, disclosure, or security practices. Review the privacy information provided by a third party before submitting Personal Information to it.

13. Children's Privacy

The Website is intended for a general audience and is not directed to children under 13. We do not knowingly collect Personal Information from children under 13 through the Website. If you believe a child has submitted Personal Information through the Website, contact us so we can evaluate and, when appropriate, delete it.

14. Visitors Outside the United States

Woods Aitken is based in the United States, and the Website is operated from the United States. If you access the Website from another country, your Personal Information may be transferred to and processed in the United States or another jurisdiction where service providers operate. Privacy laws in those jurisdictions may differ from those in your location.

15. Changes to This Notice

We may update this Notice to reflect changes in the Website, our practices, service providers, or legal requirements. We will post the revised Notice on the Website and update the effective or last-updated date. If a change materially affects how we use Personal Information already collected, we will provide any additional notice required by law.
